The Closed Joint-Stock Company “Central Depository” of the Kyrgyz Republic provides support for issuer corporate actions within the framework of its depository activities, ensuring timely and accurate recording of changes in the depository accounting system.

Corporate actions are events initiated by securities issuers that affect the rights and interests of securities holders or change the characteristics of issued financial instruments.

Main Types of Corporate Actions

The Central Depository supports the following corporate actions:

• payment of dividends and other income on securities;

• payment of interest and redemption of bonds;

• holding general meetings of shareholders and determining the record date for securities holders;

• additional issuance of securities;

• conversion of securities;

• stock splits and consolidation of securities;

• cancellation and redemption of securities;

• other corporate actions provided for by the legislation of the Kyrgyz Republic.

Functions of the Central Depository

Within the framework of corporate action processing, the Central Depository ensures:

• recording changes in the rights of securities holders;

• preparation of lists of securities holders upon issuers’ requests in cases provided for by legislation;

• execution of depository operations related to corporate actions;

• information exchange with issuers, registrars, and other professional securities market participants;

• ensuring the accuracy and relevance of securities accounting information.

Principles of Corporate Action Processing

All corporate actions are carried out in strict compliance with the legislation of the Kyrgyz Republic, regulatory legal acts of authorized state bodies, and the internal documents of the Central Depository.
